Another hot day today here. Clare has gone into work, we've done the Joe Wicks workout and now the boys are going through an English workbook. Rumours are still that thing one could be back at school next week, though we have not heard a dickie-bird on this topic from the school. Last we heard they're still sending us some home learning ideas for next week, but not until Wednesday anyway as the school plans to be closed for inset days on Monday and Tuesday. Surely some of this info is out of date? These were probably planned a year ago. We took advantage of these to go to the USA and Mexico didn't we? Hey remember when we used to be able to go places?

Speaking of places we probably won't go again, Brazil is rising fast in the coronavirus charts.

Channelfly plc: Acquisition

Channelfly plc ('Channelfly' or 'the Group'), the music and media group, announces that it has acquired Popex.com Limited ('Popex.com') and Popex.com Jersey Limited, a subsidiary of FortuneCity.com Inc. (Neuer Markt:FCT; ' FortuneCity').

Terms of the Acquisition

Popex.com has been acquired for an initial consideration of £300,000 to be satisfied by the issue of 740,740 new Channelfly shares at a price of 40.5 pence, the closing middle-market share price on 23 February 2001, the latest practicable date prior to this announcement. A further consideration of up to £200,000 may be paid over a two year period, if the acquired business meets agreed turnover targets. This will be satisfied by the issue of up to a further 493,827 new Channelfly shares at 40.5 pence.

Application will be made for the new ordinary shares to be issued pursuant to the acquisition to be admitted to trading on AIM. It is expected that admission will become effective on 6 March 2001.

Popex.com

Popex.com is an interactive entertainment site related to the music industry. Popex operates an interactive 'music stock exchange' game in which participants hold portfolios of imaginary stock in specified, real musical bands and artistes, the value of which fluctuates based on parameters specified by the game operator in line with real world events affecting those bands and artistes. Participants whose portfolios perform well can win prizes.

Popex.com was conceived by Paul Clarke and launched in March 1999. Subsequently FortuneCity acquired 90% of the PopEx business and developed the membership base and website traffic. Popex.com currently has over 52,000 registered users, predominantly 18-24 year olds, and site traffic regularly exceeds 2 million page impressions per month.

Commenting on the Acquisition, Philip Murphy, Group Managing Director of Channelfly said: 'Popex adds a very exciting dimension to Channelfly's media. Like any real stock exchange, Popex thrives on new entrants - emerging bands and artists. Channelfly specialises in capturing material from up-and-coming bands and through Popex we will be able to promote that material to a whole new audience.'

Paul Clarke, who will be Website Director of Popex for Channelfly (a non-board position) said: 'Channelfly's audio and video recordings and ability to promote through offline media means that Popex will become a unique way to find out about new and established bands and to get access to the best music'.
